ViiMed offers other products (collectively “Products”) that are subject to fees and separate license agreements and terms of use. USER VIOLATIONS

(a) If you violate any terms herein, applicable law, the rights of any other party, or any policy posted on the website, ViiMed may determine, in its sole discretion, the appropriate response, including termination of your access to the website.

(b) The Privacy Statement located on the website, as modified by ViiMed from time to time, shall govern any disclosure or use of information provided by all Users. See privacy policy below. As set forth in our Privacy Policy, ViiMed generally does not disclose any customer-specific information to third parties without the consent of the User. However, ViiMed will fully cooperate with law enforcement authorities and legal proceedings, where ViiMed deems, in its sole discretion, such cooperation necessary to comply with applicable law, investigate violations of this Agreement or to otherwise protect ViiMed or any party’s rights.

CHOICE OF LAW.

This Agreement shall for all purposes be governed, interpreted, construed and enforced solely and exclusively in accordance with the laws of the State of Delaware, USA, without regard to conflicts of law provisions thereof. Any controversies or claims arising out of or relating to this Agreement, or the breach thereof, shall be settled by one arbitrator under the auspices of the American Arbitration Association under its Commercial Arbitration Rules. Any such arbitration shall be conducted in the District of Columbia, USA. The arbitrator’s award shall be final and binding and judgment on the award rendered by the arbitrator may be entered in any court having jurisdiction thereof. Notwithstanding anything to the contrary in this Agreement, since you recognize that breach of this Agreement may cause ViiMed irreparable injury, ViiMed, in addition to all other remedies, shall have the right to equitable or injunctive relief anywhere, as it deems fit, in the event of any actual or attempted breach of your obligations hereunder.

MODIFICATION OF AGREEMENT.

To remain flexible in its provision of the Products, ViiMed reserves the right to make changes to any agreement or policy posted on the website at any time. Notice of discontinuance or changes to any agreement or policy may be posted on the website or sent via e-mail or postal mail. Continued use of the website after the posting of any changes or modifications to any agreement or policy shall constitute agreement to be bound thereby.

MODIFICATION.

ViiMed may modify, suspend, discontinue, delete or restrict the use of any portion of the website at any time without notice or liability. ViiMed shall not be liable for any modification or discontinuance of the website. ViiMed may deny access to the website to any person at any time for any reason.

TERM OF AGREEMENT.

SEVERABILITY AND SURVIVAL.

If any provision of this Agreement is determined to be invalid, all other provisions shall remain in full force and effect. FAILURE TO ENFORCE.

ViiMed’s failure to exercise or enforce any right or provision identified herein or posted on the website shall not constitute a waiver of such right or provision unless agreed to in writing by ViiMed.

MERGER.

This Agreement constitutes the entire and final agreement between Users and ViiMed relating to this subject matter.
